Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between your organization ("Client," "you," or "your") and Bt Vision ("Company," "we," "our," or "us") regarding your use of our invitation-only executive risk analytics platform and related services.

By accessing or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Service Description

Bt Vision provides an invitation-only web dashboard designed exclusively for corporate leadership teams. Our platform merges live operational metrics with forward-looking risk analytics through:

Invitation-Only Access

Our services are available exclusively by invitation to qualified corporate leadership teams. We reserve the right to approve or decline access requests at our sole discretion.

Platform Availability

We strive to maintain continuous platform availability with minimal downtime for maintenance and updates. Scheduled maintenance will be communicated in advance whenever possible.

User Responsibilities and Acceptable Use

Authorized Use

You agree to use our platform solely for legitimate business purposes related to risk management and operational oversight. You must:

• Promptly notify us of any unauthorized access or security breaches
• Comply with all applicable laws and regulations

• Report any technical issues or security concerns promptly
• Participate in required training and certification programs

Prohibited Activities

You agree not to:

• Share access credentials with unauthorized individuals
• Attempt to reverse engineer, decompile, or disassemble our software
• Use our services to violate any laws or regulations
• Interfere with or disrupt the platform's operation or security
• Upload malicious code, viruses, or harmful content
• Use automated systems to access the platform without authorization
• Attempt to gain unauthorized access to other users' data
• Resell, redistribute, or sublicense our services
• Use the platform for competitive intelligence against Bt Vision
• Violate any third-party rights or agreements
• Engage in any activity that could damage our reputation or business

Data Accuracy and Integrity

You are responsible for ensuring the accuracy and integrity of data you provide to our platform:

• Verify data accuracy before integration with our systems
• Maintain proper data governance and quality control processes
• Promptly correct any identified data errors or inconsistencies
• Ensure compliance with data protection and privacy regulations
• Implement appropriate data backup and recovery procedures

Data Ownership and Privacy

Your Data

You retain ownership of all operational data, metrics, and information that you provide to our platform. We process this data solely to provide our analytics services as described in our Privacy Policy.

Platform Data

We retain ownership of all proprietary algorithms, analytics models, and platform technology. The insights and analytics generated by our Bit Core engine remain our intellectual property, though you have the right to use them for your business purposes.

Data Security

We implement industry-leading security measures to protect your data. However, you acknowledge that no system is completely secure, and you use our services at your own risk.

Data Processing

By using our services, you consent to our processing of your data as described in our Privacy Policy and these Terms. This includes:

• Compliance reporting and audit trail maintenance

Payment Terms and Billing

Subscription Fees

Our services are provided on a subscription basis with fees determined based on your organization's specific requirements and selected service tier. All fees are quoted and billed in US Dollars.

Payment Schedule

• Fees are billed in advance on a monthly or annual basis as agreed
• Payment is due within 30 days of invoice date
• Late payments may result in service suspension
• All fees are non-refundable except as required by law
• Setup fees and customization costs are billed separately
• Additional user licenses are prorated based on the billing cycle
• Professional services are billed at agreed hourly rates

Fee Changes

We may modify our fees with 60 days' written notice. Continued use of our services after the effective date constitutes acceptance of the new fees.

Taxes and Additional Costs

You are responsible for all applicable taxes, duties, and other governmental charges. Additional costs for data storage, bandwidth, or premium features may apply as specified in your service agreement.

Service Availability and Support

Uptime Commitment

We strive to maintain 99.9% uptime for our platform, excluding scheduled maintenance windows. We will provide advance notice of planned maintenance whenever possible.

Support Services

We provide technical support during standard business hours (9 AM - 6 PM EST, Monday through Friday). Emergency support is available for critical issues affecting platform security or data integrity.

Service Modifications

We reserve the right to modify, update, or discontinue features of our platform with reasonable notice to ensure continued security and performance.

Disaster Recovery

We maintain comprehensive disaster recovery and business continuity plans to ensure service availability in the event of system failures or other disruptions.

Limitation of Liability and Disclaimers

Service Disclaimer

Our platform provides risk analytics and operational insights for informational purposes. While we strive for accuracy, you acknowledge that:

• All business decisions remain your responsibility
• Our analytics are based on available data and may not predict all risks
• Market conditions and external factors may affect accuracy
• You should consult with qualified professionals for critical decisions
• Historical performance does not guarantee future results
• Risk assessments are subject to inherent limitations and uncertainties

Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from these Terms or your use of our services shall not exceed the fees paid by you in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

Termination

Termination by You

You may terminate your subscription at any time with 30 days' written notice. Termination will be effective at the end of your current billing period.

Termination by Us

We may terminate your access immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay fees when due
• Engage in activities that compromise platform security
• Provide false or misleading information
• Breach confidentiality or intellectual property obligations

Effect of Termination

Upon termination, your access will cease immediately. We will provide you with an export of your data within 30 days, after which all data may be permanently deleted.

General Provisions

Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration in San Antonio, Texas, in accordance with the rules of the American Arbitration Association.

Modifications

We may modify these Terms at any time with 30 days' notice. Continued use of our services constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, or network failures.
